SafeRag Terms of Service

1. Acceptance of Terms

By purchasing a license for, downloading, installing, or using SafeRag ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not purchase or use the Software.

2. Description of Service

SafeRag is a macOS application that provides private AI chat capabilities using local language models via Ollama. Key features include:

• 100% local AI processing on your Mac
• RAG (Retrieval-Augmented Generation) document intelligence
• Multi-user support with role-based access control
• GDPR and HIPAA compliance features
• Integration with Ollama for AI model management

3. License Grant

3.1 SafeRag Pro License

Upon purchase of SafeRag Pro, Corixa grants you a limited, non-exclusive, non-transferable license to:

• Install and use SafeRag Pro on up to three (3) Mac computers that you own or control
• Use the Software for personal or commercial purposes
• Receive all future updates at no additional cost

3.2 Free Trial

SafeRag offers a 7-day free trial with limited features. The trial:

• Provides access to basic features
• Limits RAG documents to 5
• Does not require payment information
• Automatically converts to limited free mode after expiration

3.3 License Restrictions

You agree NOT to:

• Share, distribute, or transfer your license key to others
• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works
• Remove or alter any proprietary notices
• Use the Software for illegal purposes
• Circumvent license activation or validation
• Use automated tools to activate multiple licenses fraudulently

4. Payment and Pricing

4.1 One-Time Purchase

SafeRag Pro is sold as a one-time purchase with lifetime access. There are no recurring subscription fees.

4.2 Pricing

Current pricing is displayed on our pricing page. Prices are subject to change, but changes will not affect existing license holders.

4.3 Payment Processing

Payments are processed securely through our third-party payment processor (LemonSqueezy). We do not store your credit card information. Payment processing is subject to the payment processor's terms of service.

4.4 Taxes

Displayed prices may not include applicable taxes (VAT, GST, sales tax). Any applicable taxes will be calculated and displayed at checkout based on your location.

5. License Key and Activation

5.1 License Delivery

Upon purchase, you will receive a license key via email. This key is unique to your purchase and should be kept confidential.

5.2 Activation Limit

Each SafeRag Pro license can be activated on up to three (3) Mac computers. You may deactivate a device at any time to free up an activation slot.

5.3 License Recovery

If you lose your license key, contact support@corixa.io with your purchase confirmation email for assistance.

6. Refunds

We offer a 14-day money-back guarantee. If you're not satisfied with SafeRag, you can request a full refund within 14 days of purchase. See our Refund Policy for complete details.

7. Updates and Support

7.1 Software Updates

SafeRag Pro includes lifetime updates. Updates are delivered automatically via Sparkle and include:

• Bug fixes and security patches
• Performance improvements
• New features and enhancements
• Compatibility updates for new macOS versions

7.2 Support

SafeRag Pro includes priority email support. Support is provided via support@corixa.io. We aim to respond to all support requests within 48 hours on business days.

8. Third-Party Dependencies

8.1 Ollama

SafeRag requires Ollama for AI model execution. Ollama is open-source software provided under the MIT License. You are responsible for:

• Installing and maintaining Ollama on your Mac
• Downloading AI models through Ollama
• Complying with Ollama's terms and any model licenses

We are not responsible for Ollama's availability, functionality, or any changes to their software.

8.2 AI Models

AI models used with SafeRag (Llama, Mistral, Gemma, etc.) are provided by third parties and have their own licenses. You are responsible for complying with the license terms of any models you use.

9. Data and Privacy

9.1 Local Processing

All AI processing in SafeRag occurs locally on your Mac. Your conversations, documents, and data are never sent to external servers for AI processing.

9.2 License Validation

SafeRag validates license keys by communicating with our licensing server. This validation:

• Sends only your license key and a device identifier
• Does not transmit your conversations or documents
• Occurs periodically (approximately every 24 hours)
• Allows offline use for up to 24 hours between validations

9.3 Privacy Policy

Your use of SafeRag is also governed by our Privacy Policy.

10. Intellectual Property

10.1 Our Ownership

SafeRag and all associated intellectual property (code, design, branding, documentation) remain the exclusive property of Corixa.

10.2 Your Content

You retain full ownership of all content you create, upload, or process with SafeRag. We claim no rights to your data.

11. Disclaimer of Warranties

SAFERAG IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
• SUITABILITY FOR ANY SPECIFIC COMPLIANCE REQUIREMENTS

11.1 AI Output Disclaimer

AI-generated responses may contain errors, inaccuracies, or inappropriate content. You should not rely solely on AI outputs for critical decisions, legal advice, medical diagnosis, or any situation where accuracy is essential.

11.2 Compliance Disclaimer

While SafeRag includes features designed to assist with GDPR and HIPAA compliance, the Software alone does not guarantee compliance. You are responsible for ensuring your use of SafeRag meets your specific regulatory requirements.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORIXA SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES
• DAMAGES RESULTING FROM AI-GENERATED CONTENT
• DAMAGES FROM UNAUTHORIZED ACCESS TO YOUR DATA
• DAMAGES FROM BUGS, ERRORS, OR SERVICE INTERRUPTIONS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR SAFERAG IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Corixa from any claims, damages, or expenses arising from:

• Your use or misuse of SafeRag
• Your violation of these Terms
• Your violation of any third-party rights
• Content you process through SafeRag

14. Termination

14.1 Termination by You

You may stop using SafeRag at any time by uninstalling the application and deleting your data.

14.2 Termination by Us

We may terminate or suspend your license if:

• You violate these Terms
• You engage in fraudulent activity
• You attempt to circumvent licensing restrictions
• Required by law

14.3 Effect of Termination

Upon termination, your license to use SafeRag Pro ends. Your locally stored data remains on your device.

15. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Iceland, without regard to conflict of law principles.

17. Dispute Resolution

Any disputes shall first be addressed through informal negotiation by contacting support@corixa.io. Unresolved disputes shall be settled through binding arbitration in accordance with Icelandic law.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

19. Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Corixa regarding SafeRag.
